As part of our ongoing commitment to make our policies more streamlined, we wish to advise you that Policy 3.2: Registered Office of the Corporation has been revised. This revision is more of a clarification of the policy rather than a substantive change.
The policy is now entitled "Registered Office of a Corporation that Existed under the Canada Business Corporations Act Prior to November 24, 2001". The policy has been simplified. For existing corporations formed before November 24, 2001, Corporations Canada will continue to assume that the registered office is located in the province of the location indicated in the articles. It is also clear that a corporation wishing to indicate in its articles the province in which the registered office is located can file Restated Articles of Incorporation or, if there is a shareholders' resolution to amend the articles to specify the province, file Articles of Amendment.
